Vincent T. "Vince" Cubbage is a seasoned energy and financial executive with over 25 years of senior leadership experience, currently serving as Executive Chairman, Chief Financial Officer, and director of EGH Acquisition Corp., a Cayman Islands blank check company targeting the broad power market and energy transition or sustainability sectors. He co-founded Energy Growth Holdings LLC in October 2023 and serves as its Managing Partner. EGH Acquisition Corp. completed its $150 million IPO in May 2025, offering 15 million units at $10 each on NASDAQ under the ticker "EGHAU," with Cohen & Company Capital Markets as lead book-running manager and Seaport Global Securities as joint book-runner. The SPAC's board includes Cubbage, Andrew B. Lipsher, David Elisofon, Stephen S. Pang, and Kathy Savitt. The company has announced a planned business combination with Hecate Energy Group to become a public company.
Cubbage has an extensive track record leading multiple SPACs. Beginning in July 2020, he served as CEO, President, and Chairman of Tortoise Acquisition II, which raised $345 million in its September 2020 IPO; following its August 2021 business combination with Volta, Cubbage served on the board of the combined entity and played a key role in the eventual sale of Volta to Shell, which closed in March 2023. He was also appointed Interim CEO of Volta Inc. by its board during a transitional period. From November 2018 to September 2020, Cubbage co-founded and served as CEO, President, and Chairman of Tortoise Acquisition I, which raised $233 million in its March 2019 IPO and completed a business combination with Hyliion; he continues to serve on the board of directors of Hyliion Holdings Corp.
Prior to his SPAC career, Cubbage founded the private equity firm Lightfoot Capital Partners LP in 2006 and served as its CEO and Managing Partner from 2007 to 2018. He also served as CEO and Chairman of Arc Logistics GP LLC, the general partner of Arc Logistics Partners LP (NYSE: ARCX), a portfolio company formed by Lightfoot Capital in 2007 and sold in 2017. Before founding Lightfoot Capital, Cubbage was an investment banker from 1994 to 2006, including as a Senior Managing Director and sector head in the Investment Banking Division of Banc of America Securities, and earlier as a Vice President at Salomon Smith Barney in the Global Energy and Power Group from 1994 to 1998. He holds an M.B.A. from the American Graduate School of International Management and a B.A. from Eastern Washington University. Cubbage is based in the United States.
