What changed: TWOA filed a proxy and prospectus for up to 38,150,705 ordinary shares of Logistic Properties of the Americas covering the business combination agreement announced August 15, 2023 with LatAm Logistic Properties, S.A. of Panama, with an extraordinary general meeting scheduled for March 25, 2024 at 10:00 a.m. ET. The company states that if no TWOA shareholder redeems public shares in connection with the combination, TWOA public shareholders would own approximately 10.9% of the Pubco ordinary shares. The Class A ordinary shares trade on the NYSE as TWOA and closed at $10.73 on March 11, 2024. Why it matters: A 10.9% public stake assuming zero redemptions is the ceiling, not the expectation, and any redemption pushes it lower, so remaining public holders will end up with a small minority of a company controlled by the LatAm Logistic sellers.
