What changed: OTR Acquisition Corp. called a virtual special meeting for May 10, 2022 at 2:00 p.m. Eastern to approve the business combination agreement dated January 31, 2022 with Comera Life Sciences Holdings. Consideration comprises shares equal to $126 million less any leakage since September 30, 2021 divided by $10.00, plus a number of Holdco shares equal to the OTR shares outstanding immediately before the merger. OTR received $107,085,338 from its IPO. If OTR does not complete a combination by May 19, 2022 or obtain stockholder approval to extend, it will be required to dissolve and liquidate. Why it matters: A nine-day gap between the meeting and the May 19, 2022 deadline leaves no room for slippage: if the vote fails or closing is delayed, the company must dissolve and holders receive their pro rata trust share. The $126 million valuation struck at $10.00 per share prices Comera at the SPAC's own deposit level rather than at any market-tested figure, and the leakage adjustment reduces it further for any value that left the target since September 2021. Redemption at trust value remains the cash alternative.
