What changed: Kaleyra, Inc. issued definitive merger materials dated August 17, 2023 for a virtual special meeting on September 28, 2023 at 11:00 a.m. Eastern Time. Under the Agreement and Plan of Merger dated June 28, 2023, TC Delaware Technologies Inc. merges into Kaleyra, which survives as a wholly owned subsidiary of Tata Communications Limited. Each share of common stock of $0.0001 par value, other than treasury, acquirer-held and appraisal shares, is converted into the right to receive $7.25 in cash, without interest. Why it matters: The $7.25 is equity consideration only: the filing states that all of the company's debt — approximately $157.4 million of net debt outstanding as of June 30, 2023 — becomes debt of the surviving corporation rather than being repaid out of the price. Completion needs holders of at least a majority of the outstanding shares voting in favour, so an abstention, a failure to vote or an uninstructed street-name holding each count as a vote against. Two directors and their affiliated entities, holding roughly 25% of the outstanding stock at the record date, have signed voting and support agreements.
