What changed: Apexigen, Inc., the post-combination successor to Brookline Capital Acquisition Corp., called a special meeting for August 22, 2023, virtual only, record date June 28, 2023, to adopt the Agreement and Plan of Merger dated May 23, 2023 with Pyxis Oncology, Inc. and Ascent Merger Sub Corp. The consideration is Pyxis Oncology stock, so its value fluctuates and is not fixed at the vote: based on a Pyxis price of $3.73 on May 23, 2023, the last practicable day before announcement, the implied value was approximately $0.64 per Apexigen share. Why it matters: An implied $0.64 per share is a near-total loss measured against the price at which SPAC shares were originally sold into trust, and because the consideration is Pyxis Oncology stock rather than cash that figure moves with the acquirer's own price through closing.
