What changed: Vision Sensing Acquisition Corp. called its 2024 Annual Meeting for April 30, 2024 at 9:00 a.m. Eastern Time, with an Extension Amendment giving the Company the right to extend the deadline from May 3, 2024 by up to six one-month extensions to November 3, 2024. For each extension the Sponsor or its designees deposit into the Trust Account the lesser of $60,000 or $0.045 per outstanding public share, in exchange for a non-interest-bearing unsecured promissory note payable on consummation of a business combination. Why it matters: Four and a half cents per share per month adds roughly 27 cents across the full six months, and even that is funded by a note the deal repays rather than by the sponsor. VSAC ultimately liquidated, so holders' recovery came from the trust, making the redemption right at each extension vote the real instrument. A Founder Share Amendment alongside the extension usually converts or reallocates sponsor economics, which is worth reading before voting.
