What changed: IPO pricing prospectus (424B4) for TZP Strategies Acquisition Corp., and the unit changed between registration and pricing: the S-1 filed 2020-12-28 described one-HALF of a warrant per unit; as priced each unit is one Class A ordinary share and one-THIRD of one redeemable warrant, each whole warrant exercisable for one Class A ordinary share at $11.50. The size is $250,000,000 of 25,000,000 units at $10.00 (28,750,000 on full overallotment). Deferred underwriting is $0.35 per unit ($8,750,000; up to $10,062,500). Nasdaq symbols TZPSU / TZPS / TZPSW. Why it matters: Warrant coverage was cut by a third between the registration statement and pricing, so a dilution model built on the S-1 overstates TZPS's warrant overhang.
