What changed: Tishman Speyer Innovation Corp. II called a special meeting for November 29, 2022 at 10:00 a.m. Eastern by Internet on two charter amendments, the first moving the termination date forward from February 17, 2023 to November 30, 2022 and the second amending the redemption mechanics. If not extended, the company ceases operations and within ten business days redeems 100% of the Class A common stock at the trust amount including interest not released for taxes, less up to $100,000 for dissolution expenses. A voluntary redemption is followed by redemption of all remaining offering shares. Why it matters: This is a voluntary early wind-up eleven weeks ahead of the contractual deadline, and the timing is driven by the 1% excise tax that applies to repurchases after December 31, 2022: completing redemptions in 2022 preserves the full trust value for holders. The two-step structure, a voluntary redemption followed by a mandatory redemption of everything remaining, means no holder is left stranded by failing to elect.
