What changed: Talon 1 Acquisition Corp called an extraordinary general meeting for January 27, 2023 at 10:00 a.m. Eastern Time to allow up to nine one-month extensions from February 8, 2023 to November 8, 2023, being 24 months after the IPO, each requiring a deposit into the Trust Account of the lesser of $330,000 or $0.06 for each Class A ordinary share outstanding after giving effect to the Redemption. Currently the Company may extend only to May 8, 2023, and only by depositing $2,300,000. The Trust Agreement Amendment requires the affirmative vote of 65% of the outstanding Class A shares. Why it matters: The proposal replaces a single $2,300,000 deposit with at most $330,000 a month, so the sponsor's cost falls sharply while the runway extends from three months to nine — the trust accretes far less for holders who stay. The 65% supermajority needed for the Trust Agreement Amendment gives a determined minority real blocking power. Talon 1 ultimately liquidated, so redeeming at this meeting was where value was realized.
