  • What changed: A pre-IPO stub 10-Q covering inception on August 28, 2020 through September 30, 2020. There is no trust account and no Class A shares at the balance-sheet date. Total assets were $342,148, entirely deferred offering costs, with no cash at all. Current liabilities were $373,953: $39,496 accounts payable, $270,280 accrued expenses and a $64,177 related-party note, giving a working capital deficit of about $374,000 and a total shareholders' deficit of $31,805. 2,443,750 Class B shares were outstanding. Net loss since inception was about $57,000. Why it matters: None of the economics an investor cares about exist yet: the IPO, the trust funding and the Class A shares all came after September 30, 2020. The cover page reports 10,190,500 Class A and 2,443,750 Class B outstanding at November 30, 2020, which cannot be reconciled to a balance sheet with zero Class A shares, and that is by design for a pre-IPO stub rather than an error. The shell was carried entirely on a sponsor note, since repaid out of IPO proceeds. Wait for the 10-K for the first real trust balance.
