  • What changed: A pre-IPO 10-K: the reporting period ended December 31, 2020 and the offering did not close until February 5, 2021, so there is no trust account. Cash was $55,000 at December 31, 2020 and the working capital deficit was $149,178 excluding deferred offering costs. Funding to that point was a $25,000 sponsor capital contribution for founder shares plus a $120,000 unsecured sponsor promissory note. The net loss for the period was $751, essentially nothing, because offering costs were capitalised rather than expensed. Why it matters: The reporting year ended before the company had any public money, so the absence of a trust balance is by design. The economics arrived on February 5, 2021: 23,000,000 units including the full over-allotment at $10.00, gross proceeds of $230.0 million, and $230,000,000 placed in trust at exactly $10.00 per unit, with $8,050,000 of deferred underwriting payable only on completion of a deal.
