What changed: Q1 2021 10-Q for SVF Investment Corp. 2, the SoftBank-sponsored Cayman blank-check in San Carlos, California, covering the quarter of its float. At 31 March 2021 investments held in trust were $230,000,768 as a Level 1 asset - 23,000,000 public shares at $10.00 plus $768 of income - with $1,096,398 of operating cash, $460,000 due from the underwriter and working capital of about $2.8 million. Balance sheet: 21,975,373 Class A subject to redemption at $219,753,730, 1,784,627 non-redeemable Class A, 5,750,000 Class B, deferred underwriting $8,050,000. Net loss $204,815. Why it matters: Another no-warrant structure: the sponsor bought 760,000 private placement SHARES for $7,600,000 rather than warrants, so there is no warrant liability to restate and 1,784,627 plus 21,975,373 gives the 23,760,000 Class A on the cover. The founder block reached 5,750,000 through a 3,375,000-share dividend on 29 January 2021 and a 500,000-share surrender on 3 February, with the over-allotment exercised in full on 11 March. One caption error: the permanent-equity line is dated 'December 30, 2020' where every other column says 31 December.
