What changed: Seaport Calibre Materials Acquisition Corp. called a special meeting for January 26, 2023 at 9:30 AM Eastern Time to extend the Combination Period six months, from February 1, 2023, which is fifteen months after the IPO closing, to August 1, 2023. For each public share not redeemed the Company will deposit $0.02 per share into the Trust Account as an Extension Fund Payment, and will additionally deposit 200,000 shares of Class B common stock into the Trust Account. Why it matters: Two cents a share is minimal, but depositing 200,000 Class B founder shares into the trust is unusual: it transfers sponsor equity to redeeming holders rather than cash, so the eventual redemption value depends on what those shares are worth at distribution — which for a SPAC that liquidates is essentially nothing. SCMA's filed trust value is around $10.27 per share, and it ultimately liquidated, so the cash portion of the trust was the real recovery.
