What changed: SilverBox Corp III called a special meeting for August 23, 2024 at 7:00 a.m. Pacific Time by live webcast. Alongside an extension amendment, Proposal No. 3 would remove the charter's redemption limitation barring redemptions that drop net tangible assets below $5,000,000. The trust held approximately $147.7 million as of August 5, 2024, and the company warns the amount remaining after the election may be only a small fraction of that. The sponsor paid for 3,450,000 founder shares, owns 20.00% of outstanding common stock, waives its redemption rights and intends to vote in favour. Why it matters: A $147.7 million trust is unusually intact for an extension vote, so the per-share floor is still real and redeeming holders are paid in full from deposited funds. But the company states plainly that only a small fraction may remain afterward, and it is removing the $5,000,000 net tangible asset guardrail specifically so that outcome is permitted. Holders who stay in therefore face a vehicle that may be left with too little cash to complete any deal, while the sponsor, which cannot redeem its 3,450,000 founder shares, votes 20% of the stock in favour regardless.
