  • What changed: RXR Acquisition Corp. called a special meeting for December 15, 2022 at 12:30 p.m. Eastern time on an Early Termination Proposal moving the deadline forward from March 8, 2023 so the Company can wind up and redeem all Public Shares no later than December 30, 2022. On November 22, 2022 the redemption price per share was approximately $10.09, expected to be about the same two business days before the meeting. Any purchases of Public Shares by insiders would not be voted in favour of Early Termination and would waive redemption rights, and no trust funds would be used for them. Why it matters: Winding up before December 30, 2022 keeps the redemption outside the 1% excise tax window that opens January 1, 2023, protecting roughly ten cents a share of value. At $10.09 per share the trust is close to par, and RXRA's filed trust value is around $10. The commitment that no trust funds will fund insider share purchases, and that such shares waive redemption, protects the per-share amount for remaining holders.
