What changed: RMG Acquisition Corporation II issued definitive merger materials for an extraordinary general meeting at 9:00 a.m. Eastern time on August 16, 2021, held as a hybrid meeting with its physical location at Skadden, Arps, Slate, Meagher & Flom LLP in New York. Under the Business Combination Agreement dated February 24, 2021 with ReNew Power Private Limited, ReNew Energy Global plc, ReNew Power Global Merger Sub and certain Major Shareholders, ReNew Global becomes the ultimate parent of both ReNew India and RMG II. Why it matters: An RMG II holder is being moved into a public limited company registered in England and Wales that will sit above an Indian operating business — two jurisdictions removed from the Cayman Islands company they hold now. The vote is split by resolution type: the Business Combination Proposal is an ordinary resolution while the Merger Proposal and the Memorandum and Articles of Association Proposal are special resolutions, and the filing states the amended articles present no material change from the current ones.
