What changed: CC Neuberger Principal Holdings III called an extraordinary general meeting for February 1, 2023 at 9:00 a.m. Eastern Time at Kirkland & Ellis LLP, to extend the Termination Date from February 5, 2023 to May 5, 2023, alongside a Redemption Limitation Amendment. Within five business days of the meeting the Lender, being the Sponsor or its designees, deposits $360,000 into the Trust Account under a non-interest-bearing unsecured promissory note. If no combination closes by May 5, 2023, the Board may extend up to nine further times by one month each at the Sponsor's request on five days' notice. Why it matters: Twelve months of total extension authority is being granted in one vote, and after this meeting nine of those months can be added by board resolution with no further shareholder vote and therefore no further redemption window. The $360,000 deposit is a loan the deal would repay rather than sponsor capital at risk. CCNB ultimately liquidated, so the redemption right exercisable at this meeting was the mechanism that returned trust cash to holders.
