What changed: Peridot Acquisition Corp. issued definitive merger materials dated July 15, 2021 for an extraordinary general meeting at 9:00 a.m., Central time, on August 5, 2021, held in both virtual and physical format, on the business combination agreement with Li-Cycle Corp. and Li-Cycle Holdings Corp. Peridot first continues as a corporation under the laws of Ontario, its Class A and Class B shares and warrants converting into an equal number of Ontario securities, then amalgamates with Newco to form Amalco, which acquires all outstanding common shares of Li-Cycle under a plan of arrangement. Why it matters: A Peridot holder is moved out of the Cayman Islands into Ontario before the acquisition itself happens, and the sequence is prescriptive: the Continuance first, then any forfeiture of Class B common shares by Peridot Acquisition Sponsor, LLC under the Sponsor Letter Agreement, then the one-for-one conversion of the remaining Class B into Class A, then the Amalgamation. The registration fee of $94,681 was previously paid by Li-Cycle Holdings Corp. on a Form F-4, so the securities are registered by the target's own parent.
