What changed: Osiris Acquisition Corp. called a special meeting for December 14, 2022 at 1:00 p.m. Eastern Time, virtual, on an Extension Amendment conditioned on receipt of no more than $75 million worth of Class A common stock being put for redemption in connection with the Redemption Offer. Based on the Trust Account as of October 31, 2022 the Company anticipates a redemption price of approximately $10.08 per share. The IPO closed May 18, 2021. The proxy also references a purchase agreement with the Sponsor. Why it matters: Capping the extension on redemptions of no more than $75 million gives OSI holders collective control: if more than that is tendered, the extension fails and the vehicle must wind up, returning trust cash. That is a genuine protection, unlike the removal of net tangible asset floors seen elsewhere. At roughly $10.08 per share the redemption right is close to the full trust value, and Osiris ultimately liquidated, so that claim was the return.
