What changed: Orion Acquisition Corp. called a special meeting for November 21, 2022 at 12:00 p.m. Eastern Time, fully virtual, to change the termination date from March 4, 2023 to December 1, 2022, remove the Redemption Limitation so shares may be redeemed below $5,000,001 of net tangible assets, and allow removal of up to $100,000 of trust interest for dissolution expenses. On the October 12, 2022 record date the redemption price per share was approximately $10.07, expected to be about the same two business days before the meeting. Why it matters: This is an accelerated wind-up returning roughly $10.07 per share three months early, and completing it in 2022 keeps the redemption clear of the 1% excise tax that applies from January 1, 2023 — about ten cents a share at par. For OHPA holders that is the capital-preserving outcome; the cost is that public warrants become worthless. The deduction is limited to taxes and up to $100,000 of dissolution expenses across all shares.
