Under the Business Combination Agreement dated February 26, 2023, Nuvini shareholders contribute their ordinary shares to Nvni Group Limited and Nuvini Merger Sub, Inc. merges into Mercato, which survives as an indirect wholly owned subsidiary of New Nuvini. Each Mercato share converts into one New Nuvini Ordinary Share, with a value of $10.00 ascribed to each. Why it matters: The trust is already mostly gone.
