What changed: Mobiv Acquisition Corp called a special meeting for September 28, 2023 at 12:00 p.m. Eastern Time on its Merger Agreement dated March 13, 2023 with SRIVARU Holding Limited and Pegasus Merger Sub Inc., record date August 17, 2023. Holders of MOBV Public Shares other than the Sponsor, EF Hutton and SPAC Board members receive a pro rata share of an additional 2,500,000 ordinary SVH Shares. The redemption price equals the trust balance including interest, less taxes payable and less $5,000,001, divided by the public shares; MOBV estimates approximately $10 per share at the time of the meeting. Why it matters: The redemption formula subtracts $5,000,001 from the trust before dividing, which is unusual and materially reduces what each redeeming holder receives — the company's own estimate of roughly $10 per share reflects that haircut rather than the full trust value. Against it, the 2,500,000 bonus SVH shares are directed only to non-insider public holders, a genuine inducement to stay.
