What changed: M3-Brigade Acquisition III Corp. issued definitive merger materials for two separate virtual meetings on September 11, 2023 — a stockholders' meeting at 9:00 a.m. Eastern and a warrantholders' meeting at 9:30 a.m. Eastern — on the Business Combination Agreement dated December 14, 2022, as amended April 21, 2023 and June 15, 2023, with Greenfire Resources Inc. The document is also a prospectus for 73,779,303 common shares, 7,526,667 warrants and the 7,526,667 common shares issuable on their exercise, of Greenfire Resources Ltd. Why it matters: Warrantholders are given their own meeting and their own vote, which means the warrant terms are being changed rather than simply carried over. On the Greenfire side the transaction runs as a plan of arrangement under the Business Corporations Act (Alberta): Greenfire's shareholders take New Greenfire common shares plus a pro rata share of $75,000,000 of Cash Consideration, while Greenfire's performance warrantholders and bond warrantholders are partly cashed out of that same $75,000,000 and partly converted, so the cash pool is shared across three groups.
