What changed: A pre-IPO stub 10-Q covering inception on February 26, 2020 through September 30, 2020. Total assets were $269,067, being $25,000 of cash and $244,067 of deferred offering costs, against $247,442 of current liabilities that were almost entirely a $246,702 related-party promissory note. Equity was $21,625 and the cumulative net loss was only $3,375, of which $2,375 fell in the September quarter. 3,162,500 founder shares were outstanding after an October 20, 2020 stock dividend, retroactively presented, with up to 412,500 subject to forfeiture. There is no trust account. Why it matters: The period ends a month before the IPO, so no trust or public-share figures exist to reconcile against the cover page. The IPO closed on October 29, 2020, placing $111,100,000 at $10.10 per unit in trust, above the usual $10.00, with $3,850,000 of deferred underwriting and $1,914,900 of cash outside trust at that date. Until then the shell ran entirely on a sponsor note that had grown to $246,702. Working capital loans of up to $1,500,000 may convert into warrants, a dilution term worth tracking.
