  • What changed: Mission Advancement Corp. called a special meeting for December 6, 2022 at 12:00 p.m. Eastern time to change its termination date from March 5, 2023, being 24 months from the IPO closing, to a board-determined date no later than December 30, 2022, requiring the Company to wind up and redeem all outstanding Public Shares. Redemption pays the trust balance including interest net of taxes payable and up to $100,000 of interest for dissolution expenses. Holders may also elect an Optional Redemption at the same per-share amount before the wind-up. Why it matters: This is an accelerated liquidation rather than an extension: capital returns three months early, operating costs stop, and completing before December 30, 2022 keeps the redemption outside the 1% excise tax window that opens January 1, 2023 — worth roughly ten cents a share at par.   • What changed: Q1 2021 10-Q for Mission Advancement Corp., a Delaware blank-check in Phoenix whose 5 March 2021 offering of 34,500,000 units placed $345,000,000 in trust. At 31 March 2021 the trust held $345,001,302, invested in mutual funds and valued as a Level 1 asset, against Level 3 warrant liabilities of $23,927,460 valued by Monte Carlo simulation. 30,509,782 Class A shares are carried as redeemable at $305,097,820 against 3,990,218 non-redeemable and 8,625,000 Class B. Net loss for the quarter $1,765,843. Note 2 is a restatement of previously issued financial statements. Why it matters: The restatement is the April 2021 warrant reclassification applied retrospectively, and the $1.77 million quarterly loss is almost entirely its consequence: $864,511 of offering expenses allocated to warrant issuance plus the fair-value movement, against only $265,511 of actual operating cost and $1,302 of trust income. Note for the record that the tracker holds this registrant as 'Mission Acquisition Corp.' while every page of the document says Mission Advancement Corp.; the ticker, state and file number all match, so this is a wrong word in our own name field, not a mismapped filing.
