Lux Health Tech's October 29, 2020 IPO of 34,500,000 units placed $345,000,000 in trust; the trust held $345,003,572 at December 31, 2020, having earned $3,404. 32,882,503 Class A shares are carried as redeemable at $10.00 ($328,825,030), leaving 1,617,497 Class A and 8,625,000 Class B. Cash outside trust about $0.6m and working capital about $1.0m. Total liabilities $12,265,137, almost all the $12,075,000 deferred underwriting fee. Deadline October 29, 2022. Why it matters: The auditor's report carries a going-concern explanatory paragraph even though the company has positive working capital and two years to run - the doubt is tied to the mandatory liquidation date and the cost of pursuing a target, not to insolvency. This is the pattern that spread across the 2021 SPAC audits, and treating it as distress would misread the filing. The trust earned $3,404 in two months on $345m, so nothing inside it funds the runway. Figures are as of December 31, 2020.
