What changed: LIV Capital Acquisition Corp. II called an extraordinary general meeting for May 1, 2023 at 11:00 a.m. Eastern to extend the deadline to as late as February 10, 2024, or an earlier date the board determines. The extension supports the proposed combination with Covalto Ltd. under a combination agreement dated August 17, 2022 among it, Covalto and Covalto Merger Sub Ltd.; shareholders are not being asked to vote on that transaction now. The trust held $119,795,986, giving an anticipated per-share redemption price of about $10.46, against a Class A closing price of $10.45 on April 5, 2023. Why it matters: The trust is intact at nearly $120 million and the $10.46 per-share floor sits one cent above the $10.45 market price, so redemption and sale are economically equivalent and the real decision is whether to keep an option on the Covalto transaction. The company warns there may not be sufficient liquidity to sell Class A shares in the open market even at a premium to the redemption price, which makes the redemption right rather than the market the dependable exit. A deal signed in August 2022 still without a shareholder vote is the risk being extended.
