  • What changed: KnightSwan Acquisition Corporation called a special meeting for July 20, 2023 at 10:00 a.m. Eastern Time, virtual, to extend the Termination Date from July 25, 2023 to July 25, 2024 without requiring the Sponsor to exercise its existing Extension Option. On the record date the redemption price was approximately $10.53 per share, based on approximately $242.4 million on deposit in the Trust Account. Under the existing charter the Sponsor could extend only twice by three months each, and only by depositing an additional $2,300,000 into trust for each extension. Why it matters: This proposal replaces a $2,300,000 deposit obligation with a free twelve-month extension — a direct transfer of value from the trust's accretion to the sponsor, and the single most important fact for KNSW holders. Against roughly $242.4 million of trust at $10.53 per share, redeeming at this meeting locks in a value that will no longer grow from sponsor deposits. KnightSwan ultimately liquidated, so no deal ever justified the extension.
