What changed: Kensington Capital Acquisition Corp. V called an EGM for August 15, 2023 at 10:00 a.m. Eastern to extend the deadline from August 17, 2023, two years after its August 17, 2021 IPO, to August 17, 2024, with a matching amendment to the Continental trust agreement. The prior extension to August 17, 2023 was funded by the sponsor buying 3,680,000 warrants at $0.75 each on both August 4, 2022 and February 15, 2023, generating $5,520,000 that was deposited into the trust. Trust stood at about $293,255,900 on July 25, 2023, giving an anticipated redemption price of about $10.63. Why it matters: The trust is essentially untouched at roughly $293.3 million, so the $10.63 per-share floor is fully funded and redemption is a clean cash exit whether a holder votes for the extension or not. The prior funding mechanism is notable: the sponsor injected $5,520,000 by purchasing warrants at $0.75, real money that raised the per-share value rather than a loan repayable on closing. The proxy states plainly that the only way to extend beyond August 17, 2023 is a separate shareholder vote, so this meeting, not a board resolution, is the control point.
