What changed: FY2020 10-K for Jiya Acquisition Corp., a Delaware blank-check targeting biopharmaceuticals, whose 23 November 2020 IPO sold 10,000,000 public SHARES at $10.00 with no warrant in the unit, alongside 500,000 private placement shares and a forward purchase agreement under which Samsara BioCapital will buy 2,500,000 shares for $25,000,000 at closing. At 31 December 2020 trust assets were $103,522,529, after $3,108 of interest and a $981 unrealised loss. Balance sheet: 9,720,556 Class A subject to redemption at $97,205,562, 1,138,525 non-redeemable Class A, 2,588,010 Class B; net loss $264,719. Why it matters: A warrantless unit and a committed $25m forward purchase make this a different instrument from the rest of the 2020 cohort - there is no warrant overhang and a quarter of the trust is pre-funded at closing. Two cover-and-note errors: the statement of operations excludes '9,720,566 shares subject to possible redemption' where the balance sheet says 9,720,556, ten apart, and the cover of this Delaware issuer calls its Class B 'ordinary shares'. 1,138,525 + 9,720,556 = 10,859,081 reconciles to the cover, and founder shares are a quarter of the 10,352,041 public shares.
