What changed: Jupiter Acquisition Corporation called a special meeting for December 5, 2023 at 12:00 p.m. Eastern time by live webcast to approve its Business Combination Agreement dated July 18, 2023 with 1427702 B.C. Ltd. as TopCo. Assuming no additional redemptions, TopCo is expected to have up to 26,612,403 Common Shares, 1,500,000 Class B Earnout Shares, 1,500,000 Class C Earnout Shares and 8,178,543 Warrants outstanding. A Jupiter Charter Amendment would eliminate the limitation barring redemptions that leave net tangible assets below $5,000,001. Jupiter trades on the Nasdaq Capital Market. Why it matters: Removing the $5,000,001 net tangible asset floor is the enabling step: it lets the deal close no matter how much trust cash walks out the door, transferring risk from the sponsor to any holder who stays. Against 26.6 million TopCo shares there are 3 million earnout shares and 8.2 million warrants of further dilution. Jupiter ultimately liquidated, so the redemption right at this meeting was the value holders could actually realize.
