On December 16, 2025 Inspirato entered an Agreement and Plan of Merger with Exclusive Investments, LLC and Boomerang Merger Sub, Inc., under which Inspirato would be acquired by an affiliate of Exclusive Investments. The board determined the merger advisable and recommends stockholders vote FOR adoption of the Merger Agreement. Why it matters: This is a take-private vote: approval ends Inspirato's public listing and converts stockholders' shares into whatever consideration the Merger Agreement provides, so the ISPO ticker disappears from the market. For holders of the former Thayer Ventures equity, the de-SPAC that began in 2021 concludes in a sale rather than in independent growth. What changed: Inspirato Incorporated — the company Thayer Ventures Acquisition Corp took public — filed a preliminary proxy statement on December 31, 2025 for a special meeting at which stockholders vote on adopting the Agreement and Plan of Merger dated December 16, 2025 with Exclusive Investments, LLC and Boomerang Merger Sub, Inc. Merger Sub merges into Inspirato, which survives as a wholly owned subsidiary of Exclusive Investments. Each outstanding share of Class A common stock, other than excluded shares, converts into the right to receive $4.27 in cash, without interest and subject to withholding. Why it matters: This is a cash exit for the former SPAC's public holders at a fixed $4.27 per share, not a stock deal, and adoption requires the affirmative vote of a majority of all outstanding shares — so a failure to vote has the same effect as a vote against. Public warrants survive the merger in accordance with their terms and on exercise entitle the holder only to the merger consideration they would have received had they exercised immediately before the effective time.
