  • What changed: InterPrivate IV InfraTech Partners Inc. called a virtual special meeting for December 21, 2022 at 2:00 p.m. Eastern to extend beyond March 9, 2023, twenty-four months after its IPO closing; plus a liquidation amendment. Sponsor InterPrivate Acquisition Management IV, LLC will lend it $1,000 per deposit under a unsecured promissory note of up to $6,000 in total. If no combination closes by April 9, 2023 the board may extend five further times to September 9, 2023, drawing $1,000 a month. The extension is abandoned if redemptions leave less than $5,000,001 of net tangible assets. Why it matters: A total sponsor commitment of $6,000 across six months is effectively nothing: spread across the public float it adds a fraction of a cent per share, so the redemption floor is frozen while the deadline moves half a year. Compared with peers depositing $0.03 to $0.15 per share monthly, this is the weakest extension funding in the cycle and tells holders precisely how much the sponsor is willing to risk. Retaining the $5,000,001 net tangible asset condition does at least mean heavy redemptions abort the extension and return trust value.

Redemption deadlinethe last day to hand shares back for cash

Set by the filing that calls the meeting. Tender after it and the company is under no obligation to pay you the trust value.

Cash in trust / trust per sharethe cash the company is holding for each public share

Filed quarterly in the 10-Q's XBRL. It earns interest between filings, so the figure on a given day is slightly higher than the last filed one — where we show that we label it an estimate.
