What changed: Horizon Acquisition Corporation issued definitive merger materials convening two separate meetings: an extraordinary general meeting of shareholders and a special meeting of the holders of Horizon IPO Public Warrants. Under the Transaction Agreement dated April 21, 2021 among Horizon, the Sponsor, Hoya Topco, Hoya Intermediate and Vivid Seats PubCo, Horizon merges into Vivid Seats PubCo, Horizon's separate corporate existence ceases and Vivid Seats PubCo becomes the surviving corporation. Why it matters: The warrant holders are being asked to vote on their own instrument's accounting: the Warrant Amendment Proposal changes the Warrant Agreement so the Horizon IPO Warrants are carried as equity within the balance sheet rather than as a liability measured at fair value with non-cash adjustments recorded in earnings each reporting period. That is a vote about reported earnings volatility rather than about the deal. Closing is conditioned on four of the five shareholder proposals; only the Adjournment Proposal stands alone.
