What changed: Home Plate Acquisition Corporation called a special meeting for September 28, 2023 at 11:00 a.m. Eastern Time, virtual, to extend the deadline from October 4, 2023, which is 24 months from the IPO closing, with a Trust Amendment requiring deposits of the lesser of $150,000 or $0.09 per unredeemed public share, and a Redemption Limitation Amendment eliminating the net tangible asset limitation from the charter. The Business Combination Agreement with Heidmar, Inc. dates from March 19, 2023, amended July 17, 2023. Why it matters: Nine cents per share per month is one of the more generous extension deposits in this cohort and does accrete to holders who stay. Set against that, eliminating the net tangible asset limitation removes the floor that stops redemptions from emptying the company, so the Heidmar deal could close with minimal cash. Home Plate ultimately liquidated, meaning the Heidmar transaction did not complete and the redemption right was the value that mattered.
