What changed: Gores Technology Partners II, Inc. called a special meeting to move its Termination Date forward from March 16, 2023 to the later of December 15, 2022 or the effectiveness of the Charter Amendment, in order to wind up and redeem 100% of the Class A common stock. Redemption pays the trust balance including interest not previously released for regulatory compliance costs and franchise and income taxes, less up to $100,000 of net interest for dissolution expenses. Why it matters: Winding up three months early and before year end protects the trust from a 1% excise tax on the fair market value of redeemed stock — roughly ten cents a share at par. Class A and Class F stock vote together as a single class, and without that approval the charter and trust agreement prohibit returning the funds early. For GTPB holders the vote is between capital back in December 2022 and a smaller distribution later.
