What changed: Gores Holdings VII, Inc. called a special meeting to move its Termination Date forward from February 25, 2023 to the later of December 15, 2022 or the effectiveness of the Charter Amendment, so it can wind up and redeem 100% of the Class A common stock. The redemption price is the trust balance including interest not previously released for regulatory compliance costs and franchise and income taxes, less up to $100,000 of net interest for dissolution expenses. Why it matters: Accelerating the wind-up into 2022 is what keeps the 1% excise tax off the trust: the tax is charged on the fair market value of repurchased stock, so redeeming roughly at par after December 31, 2022 would cost about ten cents a share of value that holders would otherwise receive. Without shareholder approval the charter does not permit returning trust funds early, which is why the vote is needed at all. GSEV liquidated.
