What changed: Glass Houses Acquisition Corp. called a special meeting for December 16, 2022 at 9:00 a.m. Central Time at Kirkland & Ellis LLP in Dallas, on an Early Termination Proposal changing the date by which it must consummate a Business Combination from March 25, 2023 to a board-determined date, so the Company can wind up and redeem all outstanding Public Shares no later than December 30, 2022. Redemption pays the trust balance including interest net of taxes payable and up to $100,000 of interest for dissolution expenses, and a further $100,000 of net interest may be removed on the final dissolution. Why it matters: An accelerated wind-up more than three months early caps operating costs and completes the redemption before the 1% excise tax window opens on January 1, 2023. The one detail worth noting is that up to $100,000 of net interest may be deducted twice — once at the Early Termination redemption and again at the final dissolution — so the second tranche of holders bears that cost. Any insider purchases must be at no higher than the redemption price.
