What changed: Fortress Value Acquisition Corp. III called a completely virtual special meeting for November 22, 2022 at 9:00 a.m. Eastern to amend its charter and move the termination date forward from January 7, 2023 to the later of November 22, 2022 and the effectiveness of a second amended and restated charter, with a matching trust amendment. Record date is October 27, 2022. It warns that as a Delaware corporation listed on the NYSE it is a covered corporation and there is significant risk the 1% excise tax will apply to redemptions after December 31, 2022, potentially reducing per-share proceeds.
