What changed: MoneyLion Inc., the post-combination successor to Fusion Acquisition Corp., called a special meeting for April 10, 2025 at 10:00 a.m. Eastern Time by live webcast, record date February 11, 2025, to approve the merger with a wholly owned subsidiary of Gen Digital Inc. under a merger agreement dated December 10, 2024. Holders of approximately 18.7% of outstanding MoneyLion common stock have signed a voting agreement to vote in favor. Gen Digital expects to issue up to approximately 12,817,301 contingent value rights to MoneyLion stockholders, a new security with no public trading market. Why it matters: FUSE holders reach a defined exit: cash-and-CVR consideration from an investment-grade strategic acquirer rather than continuing de-SPAC equity risk. The catch is the CVR, an illiquid instrument with no trading market whose value depends on future milestones, so the headline consideration is not all realizable at closing. With 18.7% already locked up by voting agreement, approval is well advanced before the meeting opens.
