What changed: FTAC Athena Acquisition Corp. called an extraordinary general meeting in lieu of its annual general meeting for February 15, 2023 to give it the right to extend the combination period up to nine times by one month each, from February 25, 2023 to November 25, 2023, with a matching trust agreement amendment. For each one-month extension it must deposit the lesser of $200,000 and $0.04 for each Class A ordinary share issued in the IPO that remains outstanding after giving effect to the redemption. Without the extension it would be forced to liquidate even if shareholders favoured a combination. Why it matters: Nine months of monthly extensions at up to $0.04 per share adds roughly 0.4% of a $10 share each month, so the redemption floor grows slowly while the deadline moves almost a year. The $200,000 cap binds whenever more than five million public shares remain, below which the full per-share rate applies, so heavy redemptions actually improve the accretion for those who stay. The company frames the alternative starkly as forced liquidation, which for holders means receiving pro rata trust value rather than losing capital.
