What changed: Forum Merger IV Corporation called a completely virtual special meeting in lieu of its 2022 annual meeting for March 7, 2023 at 10:30 a.m. local time on four charter amendments: an extension, a founder share amendment allowing Class B to convert to Class A one-for-one, a redemption limitation amendment deleting the $5,000,001 NTA floor, and a liquidation amendment letting the board wind up it early at its sole discretion. If no combination closes by April 22, 2023 the board may extend seven further times to November 22, 2023, depositing monthly the lesser of $175,000 or $0.05 per public share. Why it matters: The liquidation amendment is the unusual and important one: it lets the board wind up at its sole discretion even before the current outside date, so holders who do not redeem here can be liquidated on the board's timetable rather than their own. Combined with removing the net tangible asset floor, the charter protections public holders bought at the IPO are being stripped in a single vote. Extension notes convert into units at $10.00 at the lender's option, and if no deal closes those notes are repaid only from funds outside the trust or forfeited, which does protect the trust itself.
