What changed: Q1 2021 10-Q for Fortress Capital Acquisition Corp., a Cayman blank-check at 1345 Avenue of the Americas. At 31 March 2021 investments held in trust were $400,017,154 (Level 1) against warrant liabilities of $23,918,735, split between a $7,920,000 public warrant liability valued on quoted prices and a $15,998,735 private placement warrant liability valued on Level 3 unobservable inputs. Deferred underwriting commissions are $14,000,000; 35,901,803 Class A shares are carried as redeemable at $359,018,030 against 4,098,197 non-redeemable and 10,000,000 Class B. Why it matters: The quarter's $1,645,928 of net income is entirely accounting. It is $17,154 of trust interest plus an $8,384,490 fall in warrant fair value, less $929,159 of offering costs allocated to the warrants, $324,286 of general expenses and - the notable item - a $5,502,271 loss on the excess of fair value over the cash the sponsor paid for its private placement warrants. Why it matters: A model built on the registration statement overstates FCAX's warrant overhang by a quarter: one-fifth of a warrant per unit was the priced term, not the one-fourth drafted three weeks earlier. Two call regimes are stated, at $18.00 and at $10.00 per Class A ordinary share, adjusting to 180% of the higher of the Market Value and the Newly Issued Price and to that higher figure respectively. Warrants become exercisable on the later of 30 days after the initial business combination and 12 months from closing.
