What changed: Definitive proxy statement and prospectus for EJF Acquisition Corp.'s extraordinary general meeting, covering up to 35,937,500 ordinary shares, 9,583,333 warrants and 9,583,333 ordinary shares underlying warrants of Pagaya Technologies Ltd. Under the Agreement and Plan of Merger dated September 15, 2021 among EJFA, Pagaya and Rigel Merger Sub Inc., Merger Sub merges into EJFA, which survives as a wholly owned subsidiary of Pagaya, and EJFA's shareholders become shareholders of Pagaya. Why it matters: The listed company after closing is an Israeli company, and the registered securities are Pagaya's, not the SPAC's: EJFA survives only as a subsidiary. Both EJFA classes are converted into Pagaya Class A ordinary shares, which have no par value where the EJFA shares had a par value of $0.0001, and the conversion happens after a Capital Restructuring the document defines separately. Anything keyed to the SPAC's own share classes stops applying at the effective time.
