What changed: IPO pricing prospectus (424B4) for Deep Lake Capital Acquisition Corp., a Cayman Islands blank-check company: $180,000,000 of 18,000,000 units at $10.00 (20,700,000 on full overallotment), each unit one Class A ordinary share and one-half of one redeemable warrant exercisable for one Class A ordinary share at $11.50; only whole warrants are exercisable and trade. $180,000,000, or $207,000,000 on full overallotment ($10.00 per unit in either case), is deposited in a U.S. trust account at J.P. Morgan Chase Bank. Proposed Nasdaq symbols DLCAU / DLCA / DLCAW. Why it matters: Two warrant call regimes are stated, at $18.00 and at $10.00 per Class A ordinary share, adjusting to 180% of the higher of the Market Value and the Newly Issued Price and to that higher figure respectively. Warrants become exercisable on the later of 30 days after the initial business combination and twelve months from the closing of the offering and expire five years after the business combination. If no business combination is consummated within 24 months from closing, the public shares are redeemed. Deferred underwriting is $0.35 per unit ($6,300,000; $7,245,000 on full overallotment).
