What changed: Catalyst Partners Acquisition Corp. called an extraordinary general meeting for January 31, 2023 at 10:00 a.m. Eastern Time to ACCELERATE its Termination Date, moving it from May 20, 2023 forward to January 31, 2023, and to amend the Investment Management Trust Agreement so Continental must commence liquidation of the trust account on that same date. Public Shares are redeemed at the trust balance including interest not previously released, less taxes payable and up to $100,000 of interest for dissolution expenses. A Voluntary Redemption precedes the redemption of all remaining Public Shares. Why it matters: This is the opposite of the usual extension vote: the board is asking shareholders to wind the vehicle up nearly four months early and return the trust rather than spend more time and money searching. For CPAR holders that is the shareholder-friendly outcome — capital comes back sooner and the deduction is limited to taxes and up to $100,000 of dissolution costs across all shares. Public warrants become worthless in the liquidation.
