What changed: Colicity Inc. called a special meeting for December 20, 2022 at 11:30 a.m. New York time to amend its charter and move the original termination date forward from February 26, 2023 to the later of December 20, 2022 and the amendment's effective date. The proxy states in capitals that holders need not elect redemption because approving the charter and trust amendments means their shares are automatically redeemed as part of a mandatory redemption. The trust held approximately $348.3 million at November 23, 2022, and the Class A common stock closed at $10.02. Why it matters: A mandatory rather than optional redemption removes the usual risk that a holder loses value by failing to tender in time: every public share is cashed out automatically if the amendments pass. With about $348.3 million in trust against a $10.02 market price, the payout should exceed what the shares fetch in the market. Completing the redemption before December 31, 2022 also keeps the proceeds outside the 1% excise tax on repurchases that takes effect the following day.
