Group Co., the post-combination successor to CHW Acquisition Corp, called its 2025 annual meeting for Friday, June 13, 2025 at 9:00 a.m. Pacific Time by live audio webcast, record date April 17, 2025. The ballot includes a Reverse Stock Split Proposal at a ratio between 1-for-10 and 1-for-20, to be set at the Board's discretion but effected no later than September 30, 2025, ahead of the expiration of the second 180-calendar-day period Nasdaq allowed to regain compliance with the $1.00 minimum bid price. CFO is Alec Davidian; CMO Patrick McCarthy resigned effective June 2, 2025. Why it matters: Needing a split as wide as 1-for-20 means the stock is trading around five to ten cents, and the company is already inside the second 180-day Nasdaq cure period — the last one available before delisting.
