What changed: Bukit Jalil Global Acquisition 1 Ltd. set an extraordinary general meeting for March 31, 2025 to approve the Business Combination Agreement dated August 5, 2024 with GIBO Holdings Limited. The prospectus covers up to 558,752,202 GIBO Class A ordinary shares, 204,225,636 Class B ordinary shares, 3,297,153 warrants and 3,297,153 Class A shares issuable on exercise. At the Second Closing the sponsor takes 424,307 private shares, 424,307 rights and 212,153 warrants for $4,243,070, and up to $1,200,000 of promissory notes may convert into private units at $10.00 per unit. Why it matters: A registration covering more than 762 million combined Class A and Class B shares against a small SPAC float means BUJA public holders end up with a rounding error of the combined company — the sellers take essentially all of it. The sponsor converting up to $1,200,000 of working-capital notes into units at $10.00 adds insider stock at a price the market is unlikely to support post-closing.
