What changed: Argus Capital Corp. set a special meeting to amend its charter and move the termination date forward from March 24, 2023 to the later of December 20, 2022 and the amendment's effective date, after which it would cease operations and redeem 100% of the Class A common stock at the trust amount less taxes payable and up to $100,000 of interest for dissolution expenses. Why it matters: The excise tax analysis is the reason for the accelerated timetable: redeeming before December 31, 2022 keeps the full trust value in shareholders' hands, while a redemption weeks later could be reduced by 1% of the fair market value of the shares repurchased. On a trust of typical size that is a meaningful sum surrendered for no benefit.
